Granting two-thirds supermajority veto rights gives significant power to minority stockholders, said Steve Segal, a shareholder with law firm Buchalter, who isn’t involved in this case.
“It’s rare for a venture capital investor to sue over a liquidity event,” Segal added. “It’s counter to the premise of investing in a growth-oriented company.”
